Terms of use

These terms and conditions of use (“Terms of Use”) are a legal agreement between Village Brands Inc. (“Company”, “we”, “our”, or “us”) and you, the person accessing and using this Website (“you”). They set out the legally binding terms for your use of the Hycycle website located at www.hycycle.ca (the “Website”), owned, operated and maintained, directly or indirectly, by the Company. “Website” also includes all sites owned and operated by the Company that redirect to it, all of its subdomains, and all features, functionality, content and information the Company makes available through it.

Hycycle is a brand of cannabis products produced by Village Brands Inc., a holder of licences issued by Health Canada under the Cannabis Act (Canada).

BY USING THE WEBSITE YOU ARE DEEMED TO HAVE READ AND ACCEPTED, AND YOU AGREE TO BE BOUND BY, THESE TERMS OF USE, WHICH GOVERN YOUR ACCESS TO AND USE OF THE WEBSITE. IF YOU DO NOT AGREE WITH ANY OF THESE TERMS OF USE, YOU MAY NOT ACCESS OR USE THE WEBSITE.

1. Purpose

The Website is made available to you for the sole purpose of providing information about the Company, the Hycycle brand and Hycycle products, including vape cartridges, all-in-one disposable vapes and pre-rolls. The Website does not sell cannabis or cannabis accessories, and no products may be purchased, ordered or reserved through it. Hycycle products are only available through provincially and territorially authorized cannabis retailers.

2. Acceptance and Modification of Terms

The Website is made available to you subject to your acceptance of these Terms of Use and the Company’s Privacy Policy (“Privacy Policy”). The Company may modify or replace these Terms of Use at any time by posting an updated version on the Website. You can tell if these Terms of Use have changed by checking the “Last Updated” date at the bottom. We may also, in our discretion, notify you of changes in other ways, such as by email if you have provided one. If you continue to use the Website after the Terms of Use have changed or notice of the change has been given, you are deemed to have accepted the changes.

3. Age Restriction

The Website is intended only for adults of legal age to purchase and consume cannabis in their province or territory of residence. You must be at least nineteen (19) years of age, or the minimum legal age for cannabis in your place of residence if it is higher, to access and use the Website. By clicking “I am 19+” and using the Website, you confirm that you meet this requirement. The Company may deny access to anyone it believes does not meet the age requirement.

4. Product Information; No Medical Advice

All product information on the Website, including product names, descriptions, flavours, strain classifications (such as indica, sativa or hybrid), terpene profiles, cannabinoid content and potency ranges, is provided for general information only. Cannabinoid and terpene content varies by batch, and the information printed on the product label is the governing source. Product images, packaging and hardware shown on the Website are for illustration only and may differ from the products available at retail. Product availability varies by province and territory and may change without notice.

Nothing on the Website is medical advice, and no product is intended to diagnose, treat, cure or prevent any disease or condition. Consult a health care practitioner before using cannabis. Always read the product label and health warning messages, and follow the manufacturer’s instructions for any vape cartridge, all-in-one vape or battery. Smoking or vaping cannabis can harm your lungs, and cannabis smoke contains many of the same harmful chemicals as tobacco smoke. Start low and go slow. Do not drive or operate machinery under the influence of cannabis. Keep cannabis products and vape devices out of reach of children and pets, and dispose of used all-in-one vapes and cartridges, which contain batteries or electronic components, in accordance with local disposal and recycling rules.

5. License

The Company grants you a limited, non-exclusive, personal, non-transferable, non-sub-licensable and revocable license to access the Website for the purpose of viewing information for your personal, non-commercial use in accordance with these Terms of Use. Except for the limited license expressly granted here, these Terms of Use do not grant you any other right or license, whether express or implied, by estoppel or otherwise, under any patent, trademark, copyright or other intellectual property or proprietary right of the Company or any third party. The Company may terminate this license at any time for any reason.

6. Content

The Website may include images, text, works, audio, video and other content and data owned by third parties (“Third Party Content”). These Terms of Use apply to your access to and use of any Third Party Content, and you agree to comply with any terms specific to it. The Company is not responsible for, and assumes no liability for, any Third Party Content.

You may not: (a) publish, publicly perform or display, communicate to the public or otherwise distribute any Company Content to any third party; (b) market, sell, re-sell or make commercial use of the Website or any Company Content; (c) systematically collect and use any Company Content, including through data mining, robots, scraping or similar data gathering and extraction methods, including for the purpose of training artificial intelligence or machine learning models; or (d) make derivative uses of the Website or the Company Content.

7. Use Restrictions

You agree you will not: (a) post or transmit any files that contain viruses, worms, Trojan horses or other code with contaminating or destructive properties; (b) except as expressly permitted by these Terms of Use, provide, disclose, sublicense, distribute, transfer, assign or otherwise permit any third party to access or use the Website; (c) to the maximum extent permitted by applicable law, interfere with or circumvent any copyright or other technical protection mechanism, or reverse engineer, decompile, disassemble or otherwise deconstruct all or any part of the Website or any software, technology or content forming part of it; (d) post or transmit data or content that would be a criminal offence, give rise to civil liability or otherwise violate the law; (e) use the Website to harvest addresses, send spam or otherwise breach these Terms of Use or the Privacy Policy; (f) use any spider, robot or other automated agent to monitor or copy web pages or content from the Website, or for any other purpose in connection with your access to and use of the Website; (g) take any action or use any program or device that may interfere with the operation of the Website or shut down, overload or overwhelm it; (h) copy, republish or redistribute any part of the Website, including by caching, framing or similar means, without the Company’s prior written consent; (i) bypass or attempt to bypass any age gate or access control on the Website, or allow any person under the legal age to access the Website; or (j) take any inappropriate or unlawful action, including submitting content to or through the Website that is harassing, hateful, illegal, profane, obscene, defamatory, threatening or discriminatory, or that advocates or encourages conduct that would be a criminal offence, give rise to civil liability or violate any law.

8. Personal Information

In these Terms of Use, “Personal Information” means any information about an identifiable individual, such as your name, email address, phone number, and any other information you provide through the Website that identifies who you are. Your use of the Website is subject to our Privacy Policy, which is incorporated by reference into and forms part of these Terms of Use. By agreeing to these Terms of Use or using the Website, you consent to the collection, storage, use and disclosure of your information, including Personal Information, as described in the Privacy Policy.

9. Use of Cookies

You agree that the Company may monitor and review your use of the Website from time to time, and may use cookies, log files and your browsing data in accordance with the Privacy Policy.

If you contact us through the Website, including through a “Contact Us” form, you agree that the information you provide is accurate and that you will not submit any confidential information or any unlawful content. Questions, comments, feedback, ideas and other submissions you send us (“Submissions”) are non-confidential, and you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use them for any lawful purpose without compensation to you. We may, but are not required to, respond to any Submission. The Company does not respond to requests for medical advice and does not accept product orders through the Website.

11. Links and Social Media

The Website may contain links to other websites, applications or resources, including those operated by parties other than the Company, such as social media platforms (for example, Instagram and Facebook) and the websites of authorized cannabis retailers. These links are provided for your convenience only. The Company is not responsible for the availability of these external resources, does not endorse or accept responsibility for their content, and has no control over their terms of use or privacy policies. Your access to and use of any third-party website, application or resource is at your own risk, and you should review its terms of use and privacy policy before using it. Social media platforms may have their own age requirements and content rules, which apply in addition to these Terms of Use. The Company may remove any link at any time for any reason.

12. Website Provided “AS IS”

YOU UNDERSTAND AND AGREE THAT THE WEBSITE, ANY COMPANY CONTENT AND ALL OTHER INFORMATION, DATA AND MATERIALS AVAILABLE ON THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND, EXCEPT TO THE EXTENT EXPRESSLY PROVIDED FOR HEREIN AND PERMITTED UNDER APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, AND WHETHER ARISING BY STATUTE OR OTHERWISE IN LAW, FROM A COURSE OF DEALING OR USAGE OF TRADE, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS OR FITNESS FOR A PARTICULAR PURPOSE.

THE COMPANY MAKES NO REPRESENTATION OR WARRANTY THAT THE WEBSITE (INCLUDING ANY COMPANY CONTENT AND PRODUCT INFORMATION) WILL BE ACCURATE, RELIABLE, CURRENT, COMPLETE OR COMPATIBLE WITH YOUR COMPUTER OR ELECTRONIC DEVICE, OR WILL BE PROVIDED ON AN UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE BASIS, OR THAT ANY ERRORS WILL BE CORRECTED, OR THAT THE WEBSITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL ELEMENTS.

13. Limitation of Liability

IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS, THIRD-PARTY CONTRACTORS, SUPPLIERS OR LICENSORS (EACH A “COMPANY PARTY” AND TOGETHER THE “COMPANY PARTIES”) BE LIABLE FOR ANY SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY KIND SUFFERED OR INCURRED IN CONNECTION WITH THE USE OF, OR INABILITY TO USE, THE WEBSITE (INCLUDING IN CONNECTION WITH THE TRANSMISSION, DOWNLOADING OR STORAGE OF ANY DATA OR SUBMISSIONS TO OR FROM THE WEBSITE, THE USE OF OR RELIANCE ON ANY COMPANY CONTENT, PRODUCT INFORMATION OR OTHER INFORMATION ON THE WEBSITE, LOSS OF OR DAMAGE TO FILES OR DATA, THE COST OF RECOVERING OR REPRODUCING FILES OR DATA, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OF REVENUE OR PROFIT, OR ANY OTHER ECONOMIC LOSS), HOWEVER CAUSED AND REGARDLESS OF THE FORM OF ACTION, AND WHETHER OR NOT FORESEEABLE, EVEN IF ANY COMPANY PARTY WAS INFORMED OF OR OUGHT REASONABLY TO HAVE KNOWN OF THE POTENTIAL FOR SUCH DAMAGES.

The Company is not liable for any failure to perform its obligations where the failure results from any cause beyond its reasonable control, including mechanical, electronic or communications failure or degradation.

The limitations of liability in these Terms of Use reflect an informed, voluntary allocation of risk, which is a material part of these Terms of Use. You agree that these limitations are fair and reasonable in the circumstances. Nothing in these Terms of Use limits any liability that cannot be limited under applicable law.

14. Indemnity

You agree to defend, indemnify and hold harmless the Company Parties from and against any claims, actions, demands, losses, liabilities, damages, costs and expenses, including reasonable legal and accounting fees, alleging or resulting, directly or indirectly, from: (a) your breach of these Terms of Use; (b) your access to or use of the Website; or (c) any Submission you provide.
